1. Acceptance of Terms

By accessing or using Serenyx ("the Service," "the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Serenyx. We reserve the right to update these Terms at any time, and your continued use of the Service after changes constitutes acceptance of the updated Terms.

2. Description of Service

Serenyx is an AI-powered wellness journaling application that provides:

• Wellness scoring across six dimensions: Happiness, Contentment, Confidence, Calmness, Energy, and Clarity
• AI-generated insights and pattern recognition
• Personalized exercise recommendations
• Trend analysis and progress tracking

3. Eligibility

You must be at least 13 years old (or 16 in the EU) to use Serenyx. By using the Service, you represent and warrant that:

• You meet the minimum age requirement
• You have the legal capacity to enter into these Terms
• You will provide accurate and complete information
• You will maintain the security of your account

4. Account Registration

4.1 Creating an Account

• You must provide a valid email address to create an account
• You are responsible for maintaining the confidentiality of your password
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account

4.2 Account Restrictions

• One account per person
• Account sharing is prohibited
• You may not create an account using false or misleading information
• You may not transfer your account to another person

5. Subscription Plans & Pricing

5.1 Payment Terms

• Billing: Subscriptions are billed monthly through Apple App Store or Google Play Store
• Auto-Renewal: Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period
• Price Changes: We may change subscription prices with 30 days' notice. Changes apply to subsequent billing periods.
• Taxes: Prices exclude applicable taxes, which are collected by Apple/Google

5.2 Cancellation & Refunds

• Cancellation: You can cancel your subscription anytime from your device's subscription settings (App Store/Play Store)
• Access: You retain access to premium features until the end of your current billing period
• No Refunds: We do not provide refunds for partial months. All sales are final.
• Apple/Google Policy: Refund requests must be submitted to Apple/Google, as they process all payments

6. Acceptable Use Policy

You agree NOT to use Serenyx to:

6.1 Prohibited Activities

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Upload malicious code, viruses, or harmful content
• Attempt to hack, reverse engineer, or compromise the Service
• Use automated scripts or bots to access the Service
• Share accounts or sell access to the Service
• Abuse, harass, or harm other users (if community features are added)
• Use the Service for commercial purposes without permission
• Collect data about other users without consent

6.2 Content Restrictions

While we respect your privacy and do not monitor journal content, you may not use Serenyx to create or store:

• Content that is illegal, obscene, or violates others' rights
• Content that promotes violence, terrorism, or harm
• Content that exploits or endangers minors
• Spam, phishing attempts, or fraudulent content

7. Content Ownership & License

7.1 Your Content

• You own all rights to your journal entries and personal data
• You can delete your content at any time
• We do not claim ownership of your journal content

7.2 License to Serenyx

By using the Service, you grant us a limited, non-exclusive license to:

• Store and process your journal entries to provide the Service
• Analyze your content using AI to generate insights and scores
• Create backups for data protection

This license terminates when you delete your content or account.

7.3 Serenyx Intellectual Property

All rights to the Serenyx app, AI models, algorithms, design, and branding remain our exclusive property. You may not:

• Copy, modify, or create derivative works of the Service
• Reverse engineer or attempt to extract source code
• Use our trademarks or branding without permission
• Remove or alter any proprietary notices

8. Disclaimer of Warranties

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Serenyx and its affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages
• Our total liability to you shall not exceed the amount you paid us in the 12 months before the claim
• We are not responsible for data loss, business interruption, or reliance on wellness scores
• We are not liable for third-party services (Apple, Google, Google Cloud)

Some jurisdictions do not allow limitations on liability, so these may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless Serenyx from any claims, damages, or expenses arising from:

• Your violation of these Terms
• Your use of the Service
• Your violation of any third-party rights
• Your journal content

11. Termination

11.1 Termination by You

You may terminate your account at any time by emailing support@serenyx.app with a deletion request.

All your data will be permanently deleted within 30 days.

11.2 Termination by Us

We may suspend or terminate your account immediately if:

• You violate these Terms
• You engage in fraudulent or abusive behavior
• You fail to pay subscription fees (if applicable)
• We are required to do so by law
• We discontinue the Service (with 30 days' notice)

11.3 Effect of Termination

• Your right to use the Service immediately ceases
• Your data will be deleted according to our Privacy Policy
• No refunds will be provided for early termination
• Sections of these Terms that should survive (e.g., liability limitations) remain in effect

12. Data Backup & Loss

While we implement backup procedures, you are responsible for maintaining your own copies of important journal entries. We are not liable for data loss due to:

• Service outages or technical failures
• Account termination or deletion
• Force majeure events
• Unauthorized access to your account

13. Changes to the Service

We reserve the right to:

• Modify or discontinue any feature of the Service
• Change pricing with 30 days' notice
• Impose usage limits or restrictions
• Update the Service for security or technical reasons

We will make reasonable efforts to notify you of material changes via email or in-app notification.

14. Governing Law & Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.

14.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through:

• First: Good faith negotiation between parties
• Then: Arbitration in accordance with Indian arbitration laws
• Location: Arbitration to take place in Delhi, India

14.3 Class Action Waiver

You agree to resolve disputes on an individual basis. You waive the right to participate in class actions or class arbitrations.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Serenyx.

15.2 Severability

If any provision of these Terms is found invalid, the remaining provisions remain in full effect.

15.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

15.4 Assignment

You may not assign these Terms without our consent. We may assign our rights to any successor or affiliate.

15.5 Force Majeure

We are not liable for delays or failures due to events beyond our reasonable control (natural disasters, wars, internet outages, etc.).
